Terms of Use

Last updated: January 1, 2025. By using the services of ayoj (hereinafter: "we", "our" or "us") you agree to the following terms. Please read them carefully.

1. Definitions and scope

"Services" means: strategic advice, courses on digital transformation of financial business processes, workflow optimization and operational margin analysis, offered via ayoj.com and related channels.

2. Applicability

These terms apply to all agreements and legal relationships between you and ayoj, unless otherwise agreed in writing. Deviations are only valid if expressly confirmed by us.

3. Services and obligations

We undertake to perform the Services with care and expertise, in accordance with the agreed specifications. You are responsible for providing accurate information and fulfilling your payment obligations on time.

4. Intellectual property

All intellectual property rights relating to the Services, including course materials, methodologies and advisory reports, are vested in ayoj. You obtain a non-exclusive, non-transferable right of use for your own purposes.

5. Payments and cancellation

Payments must be made within 14 days of the invoice date. In the event of late payment, we are entitled to suspend the Services. Cancellation of courses is free of charge up to 7 days before the start; thereafter, 50% of the invoice amount is due.

6. Liability

Our liability is limited to the invoice amount over the last 12 months, unless there is intent or gross negligence. We are not liable for indirect damages, including lost profits or operational losses.

7. Termination

Both parties may terminate the agreement in writing with a notice period of 30 days. In the event of default, the agreement may be dissolved immediately. After termination, provisions regarding intellectual property and liability remain in force.

8. Changes

We reserve the right to change these terms. Changes will be announced at least 14 days in advance via our website or by email. By continuing to use the services after the change date, you agree to the new terms.

9. Applicable law and disputes

These terms are governed by Dutch law. Disputes shall be submitted to the competent court in Amsterdam, unless mandatory law provides otherwise.
